Terms of Use

Effective date: [1st of March 2025]

1) Parties & Acceptance

These General Terms of Use (the “Terms”) govern access to and use of https://peekahq.co (the “Site”), the Peeka mobile and web applications (the “App”), the Delivery API, and all related products, features, and services (together, the “Peeka Platform” or “Services”).

The Peeka Platform is owned and operated by:

By accessing or using the Peeka Platform, you (“User,” “you”) agree to be bound by these Terms and our Privacy Policy and Cookie Policy. If you do not agree, do not use the Peeka Platform.

2) Definitions

Buyer/Customer: A user who places orders for goods/services from a Vendor on the Peeka Platform.
Vendor/Merchant: A business or individual offering goods/services for order and delivery via the Peeka Platform.
Delivery Agent / Picker / Courier: An independent delivery service provider using the Peeka Platform to accept and fulfill delivery requests.
Order: A confirmed purchase request placed by a Buyer with a Vendor.
Trust Capital: Peeka’s vendor funding feature used solely to fulfill orders placed through the Peeka Platform.
Growth Partners: Peeka’s referral/affiliate program.
Peeka Link: Vendor-generated delivery/ordering, page links for social channels.
Services: All features provided by Peeka including Digital Storefronts, Delivery Gateway, Delivery API, Marketplace search, payments, tracking, messaging, Trust Capital and Growth Partners.

3) Eligibility & Registration

3.1 Age. You must be 18+ to use the Peeka Platform.
3.2 Account Information. You agree to provide accurate, current, and complete information and keep it updated (full name, phone, email, address, lawful means of identification, business details where applicable).
3.3 Security. Safeguard your credentials. You are responsible for activity under your account. Notify Peeka immediately of any unauthorized use.
3.4 Compliance. You will comply with all applicable laws, these Terms, and Peeka policies.

4) About Peeka & How the Service Works

4.1 Platform Role. Peeka is a technology platform that connects Buyers, Vendors, and Delivery Agents and provides ordering, dispatch, tracking, communication, and payment facilitation. Peeka is not a seller of goods and does not control the quality, safety, legality, or suitability of goods/services offered by Vendors.
4.2 Vendor Listings & Orders. Vendors create store pages/digital listings (price, availability, delivery zones). Buyers place Orders. Vendors prepare Orders for pickup.
4.3 Matching & Delivery. The App/Platform matches Orders to available Delivery Agents based on proximity, capacity, and other factors. Delivery Agents collect items and deliver to the specified address; Buyers receive real-time updates.
4.4 Payments. Peeka facilitates payment processing through third-party payment processors and deducts applicable commissions/fees.
4.5 Peeka Link (Social Ordering). Vendors can generate delivery/ordering links for social channels; Buyers shop from the link; Vendor can request a Delivery Agent in real time.
4.6 Delivery API. Vendors with their own websites/apps can integrate with Peeka’s Delivery API for dispatch, tracking, and status updates.

5) Pricing, Fees & Economic System

5.1 Dynamic Pricing. Pricing for delivery and certain service fees may vary based on distance, time, traffic, demand, weather, and other factors.
5.2 Service Fees & Commissions. Peeka would charge Vendors commissions on Orders and/or take platform/service fees. Delivery Agents may be charged platform/usage fees. Buyers may see service fees at checkout. All fee schedules can be updated from time to time.
5.3 Taxes. Prices are in Nigerian Naira (NGN) unless stated otherwise and may include applicable taxes. Users are responsible for any taxes and regulatory charges arising from their activities.
5.4 Real-Time Adjustments. Peeka may adjust fees in real time to maintain service reliability during spikes in demand or operational constraints.

6) Payments, Settlement & Refunds

6.1 Payment Processing. Payments are handled by trusted third-party processors. By transacting, you authorize charges to your selected method, agree to the processor’s terms, and consent to Peeka storing limited payment metadata for future transactions (where permitted).
6.2 Settlement to Vendors. Peeka (or its payment partner) settles Vendor earnings net of Peeka commissions/fees, chargebacks, refunds, and other adjustments per the then-current payout schedule.
6.3 Delivery Agent Earnings. Delivery Agents are compensated per-delivery/arrangement less any applicable fees; actual amounts can vary based on distance/time/demand and applicable promotions.
6.4 Refunds.

  • Product/quality issues are handled under the Vendor’s return/refund policy and applicable consumer laws.
  • If Peeka issues a platform goodwill refund, it may be credited as a promo code or original payment reversal where feasible.
  • Peeka may decline refunds in cases of suspected fraud, abuse, or policy violations.

 6.5 Chargebacks & Disputes. In the event of chargebacks or payment disputes, Peeka may withhold, offset, or recover amounts from future settlements.

7) Cancellations & No-Shows

7.1 When an Order Starts. Once a Vendor and Delivery Agent accept an Order, service execution has begun and free cancellation may no longer be possible.
7.2 Cancellation Costs. If a Vendor cancels after acceptance, or a Buyer cancels late, applicable cancellation fees and/or product costs may apply. If preparation has begun, Buyers may be charged product value; if a courier is en route or waiting, delivery/cancellation fees may also apply.
7.3 Platform Cancellations. Peeka may cancel Orders for operational/security reasons. If canceled without just cause, pre-authorized amounts will be released/refunded.
7.4 No-Show / Inaccurate Address. If the recipient is unreachable or the address is incorrect, additional attempts or return trips may incur extra fees. Failed delivery attributable to user error may be charged in full.

8) Prohibited Items & Activities

8.1 Prohibited Items. Users must not request, list, purchase, transport, or deliver: illegal goods; hazardous/dangerous materials; stolen goods; counterfeit items; items infringing IP or privacy rights; or items restricted by law or Peeka policy.
8.2 Illegal Use. No fraud, money laundering, terrorist financing, bribery, spam, scraping, reverse engineering, or any activity that harms service integrity.
8.3 Enforcement. Peeka may refuse, suspend, or terminate accounts/Orders that violate this Section and may report suspected illegal activity to authorities.

9) User Responsibilities

9.1 Accurate Information. Provide correct product details, pickup/delivery addresses, and contact information. Costs arising from inaccuracies are your responsibility.
9.2 Packaging (Vendors). Vendors must package goods appropriately and comply with applicable standards and laws.
9.3 Delivery Handling (Delivery Agents). Delivery Agents must handle goods with care, follow road and safety laws, and meet agreed timelines where practicable.
9.4 Reviews & Ratings. User-Provided Ratings and Reviews (UPRR) must be fair, lawful, and respectful. Peeka may moderate or remove content that violates policy.
9.5 Equipment & Connectivity. Users are responsible for devices, data plans, internet connectivity, and keeping the App updated.

10) Platform Availability & Updates

10.1 Uptime. Peeka aims for high availability but does not guarantee uninterrupted service (maintenance, outages, third-party failures, force majeure).
10.2 Updates. Peeka may update or modify the Platform (features, UI, APIs) at any time. Continued use after updates constitutes acceptance.
10.3 Beta/Experimental Features. Some features may be labeled beta and provided “as is” without guarantees.

11) Intellectual Property & Licenses

11.1 Peeka IP. The Platform, logos, marks, software, databases, designs, and content are owned by Peeka or its licensors and protected by law.
11.2 User License. Peeka grants you a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended purposes.
11.3 Restrictions. No copying, framing, scraping, decompiling, reverse engineering, or creating derivative works without written consent.
11.4 Trademarks. “Peeka,” related logos, and marks are trademarks of Peeka. Do not use without permission.
11.5 User Content. By submitting content (e.g., store info, images, reviews), you grant Peeka a worldwide, royalty-free, transferable, sublicensable license to host, use, reproduce, adapt, and display such content to operate and promote the Services. You represent you have rights to grant this license.

12) Data Protection & Privacy

Use of the Platform is subject to the Peeka Privacy Policy, which explains what data we collect, how we use/share it, legal bases, user rights (access, correction, deletion, portability, consent withdrawal), retention, and security measures in line with NDPR (2019) and international best practices.

13) Trust Capital & Growth Partners (Business Features)

13.1 Trust Capital. Available to eligible Vendors only to fulfill Orders placed on the Peeka Platform. Disbursement, repayment, limits, and eligibility are governed by the Trust Capital terms/policies. Peeka may offset due amounts from settlements. Misuse may result in suspension, collections, and legal action.
13.2 Growth Partners. Referral/affiliate rewards are governed by the Growth Partners policy. Earnings are based on qualifying Buyer activity/orders per program rules and time limits. Peeka may modify or terminate the program at any time.

14) Delivery Terms

14.1 Determination of Rates & Times. We set/confirm rates and time estimates subject to Platform parameters. These are displayed to Vendors/Buyers before confirmation.
14.2 Risk & Title. Risk/title in goods is between Vendor and Buyer per applicable law; Peeka is not the seller.
14.3 Proof of Delivery. Delivery Agents may capture photos, signatures, or one-time codes as evidence of delivery.

15) Service Limitations & Account Actions

Peeka may limit features, impose velocity/transaction limits, restrict product categories, place holds, or suspend/terminate accounts for risk, fraud, legal requests, or policy breaches. Peeka may verify identity (KYC), business registration (CAC/TIN), or drivers’ documentation (NIN/BVN/driver’s license) at any time.

16) Communications & Notices

You consent to receive service and account notices electronically (in-app, email, SMS). Marketing communications require your consent and can be opted out at any time (without affecting service notices).

17) Third-Party Services & Links

The Platform may link to third-party sites/services (e.g., payment processors, map providers). Peeka is not responsible for third-party content, terms, or practices.

18) Warranties & Disclaimers

THE PEEKA PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” PEEKA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANT ABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PEEKA DOES NOT WARRANT: (A) CONTINUOUS, ERROR-FREE, OR SECURE OPERATION; (B) THE QUALITY, SAFETY, OR LEGALITY OF GOODS/SERVICES OFFERED BY VENDORS; OR (C) THE PERFORMANCE OF DELIVERY AGENTS.

19) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEEKA, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS/REVENUE; DATA LOSS; OR BUSINESS INTERRUPTION.
 

PEEKA’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) NGN 50,000, OR (B) THE TOTAL FEES YOU PAID TO PEEKA IN THE 1 MONTH PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so portions may not apply.

20) Indemnification

You agree to defend, indemnify, and hold harmless Peeka, its affiliates, and personnel from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Platform; (b) your breach of these Terms or policies; (c) your violation of law or third-party rights; or (d) your content or goods. Peeka may control the defense; you will cooperate at your cost.

21) Compliance, Anti-Fraud & Sanctions

You represent that your use of the Platform does not violate applicable sanctions, export, or anti-bribery laws. You will not use the Platform to launder money, fund illegal activity, or transact with prohibited parties. Peeka may screen, monitor, and report suspicious activity.

22) Dispute Resolution, Governing Law & Jurisdiction

22.1 Governing Law. These Terms are governed by the laws of Nigeria.
22.2 Arbitration. Any dispute shall be resolved by confidential arbitration in Nigeria under the rules of a recognized arbitral body, with one arbitrator, English language, Lagos seat. Judgment on the award may be entered in any court of competent jurisdiction.
22.3 Injunctive Relief. Nothing prevents either party from seeking urgent injunctive or equitable relief in court.

23) Suspension & Termination

Peeka may suspend or terminate your account or access immediately for policy or legal violations, fraud, risk, or non-payment. You may stop using the Platform at any time. Certain provisions survive termination (e.g., IP, payments due, warranties/disclaimers, limitation of liability, indemnity, dispute resolution).

24) Changes to Terms

Peeka may update these Terms at any time. We will post the updated Terms with an effective date. Continued use after changes constitutes acceptance.

25) Severability

If any provision is found invalid or unenforceable, it will be severed, and the remainder will remain in full force.

26) Entire Agreement; Assignment

These Terms, together with policies referenced herein (Privacy Policy, Cookie Policy, specific program terms), constitute the entire agreement between you and Peeka. You may not assign these Terms without Peeka’s consent. Peeka may assign these Terms to an affiliate or in connection with a merger, acquisition, or asset sale.

27) Force Majeure

Peeka shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to acts of God, strikes, labor disputes, power failures, internet outages, government actions, or civil disturbances.

29) Premium & Business Features (Summary)

  • Digital Storefronts: Online store creation, catalog, and order management.
  • Delivery API: Integration for websites/apps to request dispatch, tracking, and status updates.
  • Digital Marketplace (Buyer Search): Discovery and search of vendor offerings (for eligible vendors).
  • Trust Capital: Short-term vendor funding to fulfill orders placed on Peeka; subject to separate terms.
  • Growth Partners: Referral/affiliate rewards program; subject to program terms.
  • Analytics & Reporting: Operational insights for vendors and delivery partners.
    Feature availability may vary by region and eligibility.

ANNEX I – Affiliated & Associated Entities

Peeka may operate through affiliates, agents, or partners for payment processing, KYC/verification, customer support, or logistics enablement within Nigeria and other jurisdictions. A current list of key affiliates/partners may be provided on request or published on the Site and may be updated from time to time.
